Terms and Conditions of Service

By engaging the services of BBD Local (the “Provider”), the Client (the “Subscriber”) agrees to the following terms and conditions governing the deployment and management of the 12-site Digital Moat infrastructure.

1. Scope of Service: The 12-Site Infrastructure

The Provider agrees to engineer, deploy, and maintain a “Digital Moat” consisting of twelve (12) independent, high-authority web properties (Exact Match Domains and Niche Sniper sites). This network is designed to achieve market saturation for the Subscriber’s specific niche within a designated 10-mile geographic radius.

2. The 90-Day Market Saturation Commitment

The Digital Moat is a high-infrastructure asset requiring significant front-end technical labor, domain procurement, and server allocation.

  • Minimum Term: All Digital Moat subscriptions carry a mandatory initial term of three (3) months (90 days).
  • Purpose: This period represents the “Construction and Indexing” phase. Early termination within this 90-day window is not permitted, as the infrastructure is custom-built for the Subscriber’s specific territory.
  • Ongoing Billing: Following the initial 90-day term, the service moves to a rolling monthly agreement. The Subscriber may cancel at any time thereafter with 30 days’ written notice.

3. Asset Ownership & Security Protocol

To ensure the technical integrity, security, and “Diversified Hosting” requirements of the network, all digital assets remain the sole and exclusive property of the Provider.

  • Infrastructure Retention: All 12 domain names, website code, hosting environments, and technical IP remain owned and managed by the Provider.
  • Exclusive Usage License: The Subscriber is granted an Exclusive Lead-Flow License. This ensures 100% of the inquiries, phone calls, and digital leads generated by the 12-site network are routed solely to the Subscriber for the duration of the agreement.
  • Termination: Upon cessation of the subscription, the Lead-Flow License is revoked. To protect the network’s anonymity and SEO value, assets are not transferable to the Subscriber.

4. Territory Exclusivity (Market Lockdown)

The Provider operates a strict Market Lockdown Policy. For the duration of an active subscription, the Provider will not deploy a Digital Moat for any direct competitor of the Subscriber within the agreed 10-mile radius. Once a territory is “Locked,” it is removed from the public availability map.

5. Lead Fulfillment & Liability

The Provider guarantees the deployment of a functional, 12-site lead-generation infrastructure. However, the closing of sales and the handling of inquiries are the sole responsibility of the Subscriber. The Provider is not liable for loss of business resulting from missed calls, slow response times, or the Subscriber’s internal sales processes.

6. Payment & Service Continuity

  • Service Fees: Subscriptions are billed on a monthly basis.
  • Suspension: The Provider reserves the right to suspend the lead-routing system immediately if a monthly payment is more than 7 days overdue. Service will be restored once the account is brought into good standing.

7. Execution of Agreement

By settling the initial invoice or activating a subscription via the bbddigitalmoat.co.uk portal, the Subscriber acknowledges they have read, understood, and agreed to the 3-month mandatory commitment and the Asset Ownership clauses defined above.
